Managing buyer due diligence, including Quality of Earnings ("QofE"), data requests and additional analysis, specialist needs, additional practice visits, and follow-up conference calls

Garth, as Founder and Managing Director of Troxell & Company, brings over 25 years of experience across Investment Banking, Private Equity, and M&A Advisory. His career spans both sides of transactions - both assisting sellers, and as a buyer of businesses - giving him a uniquely informed perspective on how corporate buyers, and their private equity investors, evaluate veterinary practices. He has a deep understanding of the financial / accounting, business, and legal aspects of the transaction process.
Before founding Troxell & Company, Garth was a Partner and Investment Committee Member at Summer Street Capital Partners, a lower-middle market private equity firm, and previously served as Partner and Executive Director at Altius Associates, where he led US Buyout market efforts and advised on over $10 billion in private equity commitments. Earlier in his career, he co-founded Cobblestone Advisors, a small-market focused M&A Advisory firm, and he began his Investment Banking career at Harris Williams & Co.
Garth holds a BS in Commerce with Distinction with a Concentration in Finance and a Major in Economics from the University of Virginia, where he was an Echols Scholar. He lives on the West End of Richmond, with his wife of 25+ years, his three daughters, and his 2 pups (Benny and Josie).

Dr. Kevin Stiffler is the Medical Director of Virginia Veterinary Specialty & Emergency ("VVSE"), a specialty and 24-hour emergency practice located in Charlottesville, VA. Dr. Stiffler, with his partner Shareholders, has been through a successful sale process to a larger corporate partner, and continues as a meaningful Shareholder in his practice post sale. Dr. Stiffler serves as a Senior Advisor to Troxell & Company and is available to advise on any practice management and technical (non-transaction) topics, as needed.
Dr. Stiffler is a Virginia native, having grown up in Williamsburg. He received both his Bachelor of Science and Doctor of Veterinary Medicine degrees from North Carolina State University. Dr. Stiffler then completed a general rotating internship at the University of Georgia ("UGA") College of Veterinary Medicine. Following his general internship, Dr. Stiffler completed a surgical internship at the Dallas Veterinary Surgical Center in Texas and then returned to the University of Georgia to complete a three-year residency in small animal surgery. In 2004, Dr. Stiffler was honored as UGA’s resident of the year. That year, he also received the national resident clinical presentation of the year award from the American College of Veterinary Surgeons for his research on urinary tract infections following spinal surgery.
Dr. Stiffler then practiced in Richmond, VA, and he became a diplomate of the American College of Veterinary Surgeons in 2005. Having always wanted to live in Charlottesville, he happily joined VVSE in 2011. He lives in Charlottesville, VA with his wife, two children, English black lab (Georgia), and three tabby cats (Leia, Roger, and Mimi).
Selling their practice is often the biggest financial transaction of a veterinarian's life. It's important to do it right - the first time around.
Selling a business is a very complex process. Knowledge, experience, and judgment matter, and having an experienced Advisor at your side is critical to maximizing the outcome.
Properly running an effective transaction process takes a tremendous amount of time, and running your practice is already a full-time job (or more!). While a sale will inevitably take a meaningful amount of time and focus by the Shareholders, an Advisor will make the process manageable.
There are numerous ways that Buyers will look to take advantage of a Seller that tries to manage the sale process themselves. A deep understanding of the financial / accounting, business, and legal aspects of a sale keeps them honest. Buyer competition and a sense of urgency are critical as well.
Getting across the finish line is critical, and there are many ways to trip up along the way. A knowledgeable Advisor, running a competitive and tight process, greatly increases the ability to get to a closing.
The success fee paid to an Advisor is typically only a fraction of the value added (in terms of increased purchase price, and better transaction terms) from a well-run sale process.
